Terms of Use

<ol> <li> Registration. Before you are provided access to the Site, you will be required to submit information on Aroga’s registration form(s). You represent and warrant that (a) you have reached the age of legal majority, and (b) that the information that you provided in the registration form(s) is current, complete and accurate, and (c) that you have selected to register for the appropriate type of user account that correctly applies to you (three account types are available: Visitor, Professional Colleague, and Existing patient and a description of each appears on the Site). You agree to maintain and promptly update your information so that it remains current, complete and accurate. </li> <li> User Name and Password. Upon completion of the registration process, you will be assigned a user name and password with which to access and use the Site. You are responsible for any access to or use of the Site that is made with the user name and password assigned to you, regardless of whether you authorized such access or use. You are responsible for protecting your user name and password from any unauthorized use. If you believe someone has accessed the Site using your user name and password without your authorization, you must notify Aroga at (609) 279-1339 or by email at <a href="mailto:arogamed@comcast.net">arogamed@comcast.net</a> or by mail at 188 Tamarack Circle, Skillman, New Jersey 08558. You may not assign your user name and password to anyone and any attempted assignment is void. </li> <li> Use of the Site.  You agree to use the Site in accordance with this Agreement, and all applicable laws, rules and regulations. You agree not to use the Site in any way that violates the rights of others (including, but not limited to, copyrights and other intellectual property rights, and rights of privacy and publicity), that is inconsistent with the Site’s community standards, which shall be determined by Aroga in its sole discretion, or in any way that may give rise to liability for Aroga, its affiliates, or their respective directors, officers, employees, agents, service providers, suppliers or licensors, including, without limitation, by creating, displaying or transmitting on or through the Site any content that may violate such rights of others or that may give rise to such liability. The following are examples of the types of content or use that are prohibited under this Agreement: - Any content or use that is offensive, such as content that promotes racism, bigotry, obscenity, pedophilia, hatred, terrorism, or physical harm of any kind against any group or individual; - Any content or use that harasses or advocates harassment of another person; - Any use that involves the transmission of “junk mail,” “chain letters,” or unsolicited mass e-mailing or spamming; - Any content that promotes information that is false, misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous; - Any content that infringes upon or violates any third party’s rights (including, but not limited to, intellectual property rights, rights of privacy (including without limitation unauthorized disclosure of a person’s name, e-mail address, physical address or phone number) or rights of publicity; - Any content that promotes an illegal or unauthorized copy of another person’s copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacturer-installed copy-protect devices, or providing pirated music or other media or links to pirated music or other media files; - Any content that contains restricted or password-only access pages, or hidden pages or images (those not linked to or from another accessible page); - Any content that provides material that exploits people in a sexual or violent manner, or solicits personal information from anyone; - Any content that provides instructional information about illegal activities such as making or buying illegal weapons, violating someone’s privacy, or providing or creating computer viruses; - Any content that contains video, photographs, or images of another person without his or her permission (or in the case of a minor, the minor’s legal guardian);- Any content or use that tries to gain unauthorized access to the Site, profiles, blogs, chat rooms, communities, account information, bulletins, or other aspects of the Site or solicits passwords or personal identifying information for commercial or unlawful purposes from other users; - Any content or use that engages in commercial activities or sales such as, without limitation, contest, sweepstakes, barter, sales advertising and pyramid schemes; - Any content or use that solicits gambling or engages in any gambling or similar activity; . - Any content that contains viruses, time bombs, Trojan horses, cancelbots, worms or any other harmful, disruptive creations, components or devices, or any technology used to circumvent Aroga’s security measures; - Any content or use that interferes with another user’s use and enjoyment of the Site or any other individual’s user and enjoyment of similar services; or - Any content that refers to any website or URL that, in the sole discretion of Aroga, contains material that is inappropriate for the practice or the Site, contains content that would be prohibited in the practice or on the Site, or violates the letter or spirit of the Aroga Agreement or the Privacy Policy. - You may not create any links to the Site without the express consent of Aroga. You may not use or access the Site, or any part thereof, or any computer systems used to provide the Site other than in authorized territories, and other than in accordance with this Agreement. Without limiting the foregoing, you may not (i) modify, create derivative works from, adapt or translate any part of the Site; (ii) reverse engineer, decompile, circumvent security measures, or disassemble any part of the Site; (iii) offer for sale, sell, distribute, redistribute, assign, rent, lease, sublicense or otherwise transfer any part of the Site, or your user name and/or password, (iv) duplicate, reproduce or copy any part of the Site without Aroga’s express consent; or (v) use the Site for any commercial purpose. </li> <li> Content not evaluated or approved by any agency, body, or society. Any medical or mental health or substance abuse ideas, health-related thoughts, comments, product-references, claims made about specific illnesses, diseases, disorders, and/or the causes of health or mental health problems including, but not limited to, any substance abuse or dependency problem contained in/on this website, may not have been, and should not be assumed to have been evaluated by the FDA, the USDA, OSHA, CDC, NIH, NIMH, or the AMA. Never assume any United States medical body or society, or the majority of American physicians, psychiatrists, psychologists, social workers, counselors or any other health or mental-health professionals endorse any comment made in/on this website. No comments in/on this website are approved by any government agency or medical or mental-health body or society to diagnose, treat, cure, or prevent diseases or disorders. </li> <li> Content for informational purposes only. The information provided in/on this website is for informational purposes only and is not intended as a substitute for the advice of your physician, psychiatrist, therapist, counselor, or other health or mental health care professional. The Site and its content gives you access to information relating to Aroga’s behavioral health and substance abuse treatment services, locations, and providers, an internal messaging system (for use as described in paragraph 8), and general information (herein referred to as “Content” or "Services"). If Aroga adds new Content, Services, or features that augment or enhance any current Content or Services, then such new, augmented or enhanced Content and Services shall be subject to the terms and conditions of the Agreement. Aroga assumes no responsibility for the timeliness, deletion, delivery failure, delivery to an unintended recipient or failure to store any user communications or personalization settings. </li> <li> Limitations of Use of Internal Messaging System. The internal messaging system on Aroga’s website is provided for the convenience of existing patients, visitors to the site, and professional colleagues, to facilitate communication of brief, non-urgent, messages between them and Aroga’s staff, employees, and subcontracted clinicians. The messaging system is intended to be used for simple questions, communications, for an existing patient of Aroga’s practice to request an appointment or a prescription refill, for a professional colleague to make a referral, and other simple general use. The messaging system is NOT intended to provide treatment, answer serious clinical issues or give medical or mental health or substance abuse treatment advice or recommendations, and IS NOT intended ever, under any circumstances, to be used for emergency messages. Messages are to be kept brief and if you are an existing patient of Aroga’s practice, Aroga and/or your clinician cannot guarantee that he or she will have the time to read and/or respond to lengthy messages. Aroga and/or your clinician cannot make any guarantees as to how quickly or frequently he/she/they will check for messages. Treatment issues, clinical issues, and any lengthy messages are to be saved for time reserved during your scheduled appointments/sessions. Neither Aroga nor any of its clinicians can ever guarantee that a message will be received and responded to in any particular time frame and if any patient has an emergency situation the telephone should be used for this purpose. If you are an existing patient and you have an emergency please call our office at 609-279-1339 and follow the instructions given. </li> <li> Privacy Policy. Aroga’s Privacy Policy is separately available via a link on Aroga’s website <a href="http://www.arogaonline.com/privacypolicy">www.arogaonline.com/privacypolicy</a> and you attest that you have read, understand, and accept its terms. Any professional colleague who uses the Site’s messaging system to communicate about any patient is solely responsible for obtaining proper authorization from that patient for disclosure in compliance with the Health Insurance Portability and Accountability Act of 1996, as amended (“HIPAA”) and its accompanying privacy requirements. </li> <li> Computer Security Compliance. Any system that you use to connect to Aroga systems via the Internet or other means shall comply with all applicable federal and state laws, including, but not limited to, Health Insurance Portability and Accountability Act of 1996, as amended (“HIPAA”) and its accompanying privacy and security requirements, for the protection of private health information and individually identifiable health information and confidentiality laws. </li> <li> Indemnity. You shall defend, hold harmless and indemnify Aroga its affiliates, or their respective directors, officers, employees, agents, service providers, suppliers or licensors against any and all claims, liability, damages or judgments, including, but not limited to, reasonable attorneys’ fees, that arise out of your use of the Aroga web site and/or the content, connection to the Services, breach of the terms of the Agreement, violation of any rights of another or violation of any applicable state or federal law. </li> <li> General Practices Regarding Use and Storage. Aroga may establish practices and limits concerning use of the Aroga’s web site and the Content or Services. Aroga shall have no responsibility or liability for your deletion or failure to store any messages and other communications or other information maintained or transmitted by the Aroga web sites or the Content or Services. Aroga reserves the right to log off and/or cancel accounts that are inactive for a period of time as determined by Aroga, in its sole discretion. Aroga reserves the right to change practices and limits at any time, in its sole discretion, with or without notice. Aroga reserves the right to change an account type at any time, in its sole discretion, with or without notice. Aroga reserves the right to cancel or delete an account registered as account type “existing patient,” in its sole discretion, without notice, at such time as the person who initiated such account has been discharged from Aroga’s practice and is no longer a patient. </li> <li> Modifications to Services. Aroga reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, Aroga’s web site and the Content and Services or any part thereof with or without notice. Aroga shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Aroga’s web site and the Content and Services or any parts thereof. </li> <li> Termination. Aroga, in its sole discretion, may terminate your user name, your account, or the use of the Aroga’s web site and the content and Services by you, and remove and discard any content within the Content and Services, if Aroga reasonably determines that you, or any user designated by you have breached the terms of the Agreement. Aroga may, in its sole discretion, at any time discontinue providing the Content and Services, or any part thereof, to you with or without notice. Aroga shall have the right to immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Services by you, and/or any individual designated by you. Aroga shall not be liable to you or any third party for any termination of your access to the Site, its content and Services. The terms and conditions in this Agreement will survive termination. </li> <li> Proprietary Rights. Aroga retains ownership of the Aroga’s web site and its content and Services and any material provided thereunder, and all rights, title and interest therein, including, without limitation, all patents, copyrights, trade secrets, trademarks and other proprietary rights. You acknowledge and agree that the Aroga’s web site, the content and Services and any necessary software used in connection with the Aroga’s web site and the content and Services ("Software") are proprietary and confidential and are protected by applicable intellectual property and other laws. Except as expressly authorized by Aroga, you shall not modify, rent, lease, loan, sell, distribute or create derivative works based on Aroga’s web site, the Content and Services or the Software, in whole or in part. You shall not claim or assert any right or title to the Aroga’s web site, the Content and Services and/or Software. You specifically agree to keep confidential and not to disclose to others any and all confidential and proprietary information available through the Aroga web site and/or the content and Services. You agree not to use any such confidential information of Aroga except in conjunction with the purposes of this Agreement. You shall not (and shall not allow any third party to) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Aroga’s web site, the content and Services or Software. You shall not modify the Aroga’s web site, the Content and Services or the Software in any manner or form, or use modified versions of the Software, including (without limitation) for the purpose of obtaining unauthorized access to the Services. You shall not access the Aroga’s web site and the Services by any means other than through the interface that is provided by Aroga for use in accessing the Services. In the event of any breach of the terms of this section by you, and/or any individual designated by you, you acknowledge and agree that Aroga would suffer irreparable harm and shall therefore be entitled to seek relief, including, but not limited to, injunctive relief. </li> <li> Disclaimer of Warranty. AROGA PROVIDES THE SITE, AND ITS CONTENT ON AN “AS IS” AND "AS AVAILABLE" BASIS. NEITHER AROGA, ITS AFFILIATES, NOR THEIR RESPECTIVE SERVICE PROVIDERS, SUPPLIERS OR LICENSORS MAKE ANY REPRESENTATION OR WARRANTY, EXPRESS, IMPLIED OR STATUTORY, WITH RESPECT TO THE SITE, ITS CONTENT, ANY INFORMATION OR DATA PROVIDED IN CONNECTION THEREWITH, OR ANY OTHER GOODS OR SERVICES PROVIDED BY ANY SUCH PARTY, INCLUDING, BUT NOT LIMITED TO: (A) ANY WARRANTY AS TO CONDITION, QUALITY, AVAILABILITY, DURABILITY, PERFORMANCE, ACCURACY, COMPLETENESS, CURRENCY OR RELIABILITY, (B) ANY WARRANTY THAT THE SITE, ITS CONTENT, OR ANY RELATED INFORMATION OR DATA WILL BE PROVIDED OR MADE AVAILABLE IN A SECURE, CONTINUOUS, ERROR-FREE, VIRUS-FREE OR UNINTERRUPTED MANNER, OR (C) ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT, AND TON, ITS AFFILIATES AND THEIR RESPECTIVE SERVICE PROVIDERS, SUPPLIERS AND LICENSORS HEREBY DISCLAIM THE SAME. SOME JURISTICTIONS DO NOT ALLOW LIMITATIONS OR DISCLAIMERS OF IMPLIED WARRANTIES, SO THE LIMITATIONS AND DISCLAIMERS SET FORTH IN THIS PARAGRAPH MAY NOT APPLY TO YOU. THIS CONTRACT GIVES YOU SPECIFIC LEGAL RIGHTS. YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM JURISDICTION TO JURISDICTION. AROGA MAKES NO WARRANTY THAT: (i) THE SERVICES WILL MEET YOUR NEEDS, (ii) THE SERVICES WILL BE UNINTERRUPTED, TIMELY AND/OR ERROR-FREE, (iii) ANY RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, AND (iv) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED. <ul> <li> ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. </li> <li> NO INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM AROGA OR THROUGH OR FROM THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE AGREEMENT. </li> </ul> </li> <li> Limitation of Liability. In no event shall Aroga, its affiliates, or their respective directors, officers, employees, agents, service providers, suppliers or licensors be liable for (i) any punitive, exemplary, indirect, special, incidental or consequential damages resulting from your use or inability to use the Site, its Content, including, without limitation, any loss of use or loss of data, or for any claim made against you by any other party, even if Aroga has been advised of the possibility of such claims; or (ii) the acts of other users of the Site with whom you may interact through the Site, including any information or data that such other users may transmit through the Site. Aroga, its affiliates, and their respective directors, officers, employees, agents, service providers, suppliers and licensors hereby disclaim any fiduciary duty or obligation with respect to any information or data that may be collected through your use of the Site or its Content. This disclaimer of liability applies to any damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of record, whether for breach of contract, tortuous behavior, negligence, or under any other cause of action. Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Site, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. You agree that Aroga shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Site. It is possible that other registered members or users (including unauthorized users, or “hackers”) may post or transmit offensive or obscene materials on the Site and that you may be involuntarily exposed to such offensive and obscene materials. It also is possible for others to obtain personal information about you due to your use of the Site, and that the recipient may use such information to harass or injure you. Aroga does not approve of such unauthorized uses but by using the Site you acknowledge and agree that Aroga is not responsible for the use by other members or users of any personal information that you disclose on the Site. Please carefully select the type of information that you post or display on the Site. You are solely responsible for your interactions with other individuals on the Site. Aroga reserves the right, but has no obligation, to monitor communications and any disputes between you and other users. If you would like to report conduct you believe is in violation of this Agreement, email <a href="mailto:arogamed@comcast.net">arogamed@comcast.net</a>. Keep in mind that reporting conduct as a violation does not mean it constitutes a violation, or that Aroga must or will take any action against such conduct or the user engaging in such conduct. In the event Aroga does take action against any reported conduct, it has no obligation to inform the person or persons reporting such conduct. Finally, it is a violation of the Agreement to knowingly make a false report against another user, or to use the reporting process to harass or intimidate a user, or to encourage others to do so. </li> <li> Arbitration. Any and all disputes arising from or relating to this Agreement or the Site shall be solely and finally settled by arbitration. The arbitration will be governed by the Federal Arbitration Act. The arbitration will be conducted at a neutral location convenient to both parties by a single arbitrator to be selected by Aroga. The arbitrator’s authority shall be limited to resolving individual disputes between you and Aroga, and the arbitrator shall not determine, as an initial matter, whether class, mass or consolidated relief is permitted in arbitration. Notwithstanding the foregoing, without first seeking or obtaining any decision in arbitration (even if a similar or related matter has already been referred to arbitration in accordance with the terms of this paragraph), (i) Aroga, its affiliates and licensors may bring any claim or suit for the purpose of evidencing, enforcing, registering or defending their intellectual property rights in any court or forum of competent jurisdiction; and (ii) Aroga, its affiliates and licensors shall be entitled to seek injunctive and other equitable relief in any court or forum of competent jurisdiction to enforce this Agreement. </li> <li> Amendments. Aroga reserves the right to modify the terms and conditions of this Agreement at any time by posting a revised version of this Agreement at <a href="http://www.arogaonline.com/">www.arogaonline.com</a>, or otherwise making it available for your review within the Site. Any modifications to this Agreement, including, but not limited to, any modifications to the warranty disclaimers or limitations of liability contained in this Agreement, will supersede the prior agreement provisions for all activity occurring after the revised version has been made available in the manner described above. Your continued use of the Site after the revised version is made available constitutes your agreement to the revision. If you do not agree with the modifications to this Agreement, you may cancel your account at any time by clicking on the “Cancel My Account” link on the Site. </li> <li> Service Mark Information. You shall not use Aroga's name, symbol or service mark without prior written approval of Aroga. All information, content, Services and software displayed on, transmitted through, or used in connection with the Aroga websites unless specifically noted otherwise as well as its selection and arrangement, is owned by Aroga. </li> <li> Disclaimer. While Aroga uses reasonable efforts to include accurate and up-to-date information, Aroga makes no warranties or representations as to the accuracy of the information available through or on the Aroga websites and/or the Services and assumes no liability or responsibility for any error or omission in the information available through or on the Aroga websites and/or the Services. </li> <li> Miscellaneous. This Agreement, the Terms and Conditions (available at <a href="http://www.arogaonline.com/termsofuse">www.arogaonline.com/termsofuse</a> , and any operating rules for the Site established by Aroga and Aroga’s Privacy Policy constitute the entire agreement between you and Aroga, provided that: (a) in the event Content you may access via the Site has terms and conditions that apply specifically to such Content the clause above shall not be interpreted to render such terms and conditions inapplicable; and (b) if there is any irreconcilable conflict between or among this Agreement, the Terms and Conditions, third-party agreements, or the terms and conditions that apply to specific Content, this Agreement shall govern with respect to any matter effecting Aroga. This Agreement is solely for the benefit of the parties hereto, and Aroga’s affiliates and licensors, and shall not be for the benefit of others. This Agreement may not be amended or modified other than in the manner described above. If any provision in this Agreement is held to be illegal, invalid or unenforceable, the remaining terms of this Agreement shall remain in full force and effect. This Agreement shall be governed by, construed and enforced in accordance with the laws of the State of New Jersey, as it is applied to agreements entered into and to be performed entirely within such State. The United Nations Convention on the International Sale of Goods shall not apply to this Agreement or any transaction contemplated by this Agreement. Any action you, any third party or Aroga bring to enforce this Agreement or, in connection with, any matters related to this site shall be brought only in either the state or Federal Courts located in Somerset County, New Jersey, and you expressly consent to the jurisdiction of said courts. You may not assign your rights under this Agreement, and any attempted assignment will be void. This Agreement and the rights and obligations under this Agreement may be transferred or assigned by Aroga, in whole or in part, and terms and provisions of this Agreement shall inure to the benefit of such transferee or assignee. Aroga shall not be deemed to have waived any of its rights under this Agreement absent an express written waiver signed by an authorized representative of Aroga. Aroga assumes no responsibility or obligation to enforce this Agreement, which enforcement it may undertake, in whole or in part, in its sole discretion. Aroga will electronically log and store your consent to this Agreement, which you agree shall be sufficient to demonstrate your acceptance.
